| The undersigned
hereby applies for membership in the American Import Shippers
Association, Inc. (AISA) and agrees that membership in AISA
is at all times conditioned upon the Applicant fulfilling all
of its membership obligations as set forth herein in AISA's
By-Laws, and service contracts shipping guidelines and conditions
as established by AISA's Board of Directors.
: The Applicant
agrees that as a condition of membership in AISA all information
provided to it by AISA either as proposals under discussion
in negotiations with ocean carriers, or as final contract
rates and terms shall be considered confidential and shall
not be disclosed by the Applicant to any company, or group,
or persons not employed by the applicant.

The traffic/volume information provided by the Applicant herein
shall be kept strictly confidential by AISA, and does not
represent a binding commitment by the Applicant to ship under
AISA service contracts. Final and binding commitments will
be made only if and when the Applicant/Member executes AISA
S.C. Participation Agreements.
: Upon confirmation
of membership by AISA, the Applicant/Member shall mail a check
in the amount of $ 250.oo made payable to the American Import
Shippers Assoc. to cover AISA one-time membership application
fee. Applicant agrees to pay a nominal service fees for each
40ft-unit-equivalent container unit (FEU) moving under AISA
service contracts. AISA's service fees depend per FEU shipped
on the member's volume commitments to AISA.
The undersigned applicant certifies that it is the beneficial
owner of the merchandise it plans to ship under AISA service
contracts.
